Shopify Legal Statement
Last Updated: September 11, 2026
1. Scope of Application
This legal statement applies to all users who register for a Shopify account, access Shopify services, build online stores, conduct cross-border transactions, use Shopify App Store applications, and all visitors to Shopify’s official websites. By accessing, registering or using any Shopify service, you confirm that you are at least 18 years old (or the legal age of majority in your jurisdiction of residence), and you agree to be bound by all terms, policies and rules referenced in this statement.
2. Platform Service Description
Shopify provides a unified e-commerce operation platform for merchants, covering store building, multi-channel sales (web, mobile, social media, offline POS systems), product management, inventory control, payment processing, shipping automation, marketing analytics and other full-link commercial tools. All new features, updates or supplementary services launched by Shopify will be automatically included in the scope of agreed services, and no separate additional consent is required unless otherwise specified for special paid services.
3. Account User Responsibilities
You are fully responsible for the authenticity, validity and security of your registered account information, including your legal business name, operating address, contact information and login credentials. You shall not copy, resell, lease or unauthorized use any part of Shopify services without explicit written permission from Shopify. All commercial activities conducted under your Shopify account shall comply with the laws, regulations and industry regulatory requirements of your operating location and the consumer’s delivery jurisdiction.
4. Personal Data & Privacy Commitment
All personal data collected by Shopify during service provision will be processed in strict accordance with the Shopify Privacy Policy. Your data ownership always belongs to you, and Shopify will only collect necessary information to deliver agreed services. When the data retention purpose is fulfilled, Shopify will delete or anonymize relevant information in compliance with legal requirements. For cross-border data transmission scenarios, Shopify will provide a legally valid Data Processing Addendum (DPA) for eligible merchants to sign.
5. Third-Party App & Integration Disclaimer
Applications, plugins and third-party service tools obtained from the Shopify App Store are independently developed and operated by third-party partners. Shopify does not guarantee the security, compliance or functional suitability of such third-party services. Any disputes, losses or legal liabilities arising from the use of third-party apps shall be resolved by you through independent negotiation with the corresponding service provider, and Shopify will provide necessary transaction information assistance within the scope permitted by law.
6. Return, Refund & Transaction Liability
For physical goods transactions, merchants shall clearly publish their own return and refund rules on the store page. For scenarios where the original order includes free shipping, if the product is returned within the agreed period and remains in brand-new condition with complete original packaging, the merchant can choose to provide free return shipping through the designated carrier. For customized products, digital goods and physical gift cards that have been printed, the merchant has the right to reject non-quality return applications in accordance with the published store policy.
7. Intellectual Property Protection
You retain full intellectual property rights to all original content, product images, store brand materials and business data uploaded to your Shopify store. You confirm that the uploaded content does not infringe the patent, trademark, copyright or other legitimate rights of any third party. Shopify reserves the right to temporarily suspend the display of relevant content or restrict account functions in accordance with the intellectual property protection process after receiving a valid formal notice of infringement complaint.
8. Liability Limitation
To the maximum extent permitted by applicable law, Shopify shall not be liable for any indirect, incidental, special or consequential damages arising from your use of platform services, including but not limited to business profit loss, data loss, service interruption losses caused by force majeure, network failure or third-party unauthorized access. The total maximum compensation liability of Shopify for all disputed scenarios shall not exceed the total service fees you actually paid to Shopify within 12 months before the incident occurs.
9. Policy Update & Notification
Shopify reserves the right to adjust the content of this legal statement according to platform operation requirements and legal update requirements. For major changes that affect your core rights and interests, Shopify will notify you through the background admin system of your registered account or the reserved main email address 30 days in advance. Your continued use of Shopify services after the change takes effect will be deemed as your full acceptance of the updated legal statement.
10. Governing Law & Dispute Resolution
The formation, execution and dispute resolution of all service agreements related to your use of Shopify services shall comply with the jurisdiction clauses specified in the Shopify Terms of Service. Any dispute that cannot be resolved through friendly negotiation shall be submitted to the competent court in the corresponding contractual party jurisdiction confirmed by Shopify for litigation resolution.
